Right-to-audit clause

A right-to-audit clause is a contractual provision that grants the right to verify a vendor's security and compliance controls, independently or through an auditor. It is agreed upon in advance because without that right the vendor may later justifiably object to an audit, which would make oversight of the third party impossible.
